Terms and conditions

1. Seller identity
This website and the sale of HoldPixel products and services are operated by HoldPixel S.L. ("HoldPixel" or "the Seller"), Spanish Tax ID [pending], registered office in [pending], Spain. Contact email: hola@holdpixel.com.
2. Subject matter
These general terms and conditions (the "Terms") govern the sale through this website of (i) the electronic devices known as "HoldPixel badges" and related accessories (the "Hardware"); and (ii) the licenses to use the cloud management panel and to publish content to the Hardware (the "Licenses").
3. Purchase process
- The customer selects the desired Hardware and/or Licenses and completes payment at the checkout.
- After payment confirmation, HoldPixel will send a confirmation email with the order details.
- The Hardware is prepared, customized if applicable, and shipped within the timelines indicated in section 6.
- Together with shipment, HoldPixel will send to the customer's email a magic link to access the cloud panel and activate Licenses.
4. Prices and taxes
Prices displayed on the website are stated excluding VAT unless otherwise indicated. Applicable VAT is added to the final amount at checkout, in accordance with the One-Stop Shop (OSS) rules for sales to consumers within the European Union. Shipments outside the EEA may be subject to additional duties and taxes payable by the customer.
5. Payment
Payment is processed through the [Shopify Payments / Stripe — to be confirmed] gateway, which accepts major credit and debit cards and other common payment methods. HoldPixel does not store full card details.
6. Shipping and timelines
- Mainland Spain: 7-14 calendar days from order confirmation.
- Rest of European Economic Area: 14-21 calendar days.
- Orders with case customization or pre-printed branding may extend up to 4-6 weeks; the customer will be informed before order confirmation.
7. Right of withdrawal
In accordance with articles 102 et seq. of Spanish Royal Legislative Decree 1/2007 of 16 November (Consolidated Consumer Protection Act, "LGDCU"), consumer customers have fourteen (14) calendar days from receipt of the Hardware to withdraw from the contract without justification.
However, under article 103 LGDCU, the right of withdrawal does not apply to:
- Hardware customized with engraving, print, branding, or client-specific configuration.
- Publishing Licenses once consumed (i.e., once at least one content version has been published to the fleet under that License).
- Sealed Hardware that has been unsealed after delivery and is not suitable for return for hygiene or safety reasons.
8. Statutory warranty
The Hardware is covered by the 2-year EU legal conformity warranty (Directive 2019/771 as transposed into the LGDCU). The battery, as a consumable element, has a specific 1-year warranty.
9. Publishing Licenses
Publishing Licenses entitle the customer to publish new content to the badge fleet during the contracted number of days. Licenses are consumed when an effective publication is made to the fleet — not when drafts are edited in the panel.
Purchased License credits do not expire, with the exception of the yearly license (365 days), which is subject to a 12-month expiry from activation.
10. Offline operation post-license
Once the License has expired or been consumed, the customer's badges continue to operate indefinitely with the last published content version, including all offline functionality (idle clocks, previously-deployed games, zone views). The customer retains ownership and use of the Hardware regardless of License status.
11. Intellectual property
The Hardware firmware, the cloud management panel, and HoldPixel's default graphic assets are property of HoldPixel S.L. and are licensed to the customer for use under these Terms. The customer retains ownership of their own content uploaded to the panel (texts, images, trademarks).
12. Limitation of liability
HoldPixel will be liable for direct, duly evidenced damages resulting from breach of these Terms, capped at the amount actually paid by the customer for the affected order. Indirect damages, loss of profit, or loss of opportunity are excluded. This is without prejudice to mandatory rights granted to consumers by applicable law.
13. Governing law and jurisdiction
These Terms are governed by Spanish law. For any dispute, the parties submit to the Courts of Madrid, except where the customer is a consumer, in which case the courts of the consumer's domicile shall have jurisdiction.
14. Changes
HoldPixel may modify these Terms at any time by publishing the updated version on the website. Changes do not apply retroactively to already confirmed orders.
